The Website is offered to You conditioned on Your acceptance without modification of the Terms, Conditions, and Notices contained herein (the “Terms”). The following terminology applies to these Terms, and any or all Agreements: “Client”, “You”, “Your” and “Users” refer to you, the person accessing this website and accepting our Terms. “Party”, “Parties” refers to both Us and the Users.
By clicking on the “Accept” button at the end of the Agreement Acceptance Form, Users agree to be bound by the Terms and Conditions of this Agreement. Please read the entire Agreement carefully before accepting its Terms. These Terms and Conditions form part of the Agreement between the Users and Us. You intend to use the Trade Mark in relation to the Goods/Services and may intend to record its interest as an authorised user under the Trade Mark Act 1995 (Cth). We have agreed to grant use of the Trade Mark to the User and the User accepts the use of the Trade Mark on the following terms and conditions.
The Parties agree that We grant non-transferable use of the Trade Mark to You to reproduce for the relevant Term of this Agreement (being an agreed upon subscription period) throughout Australia in relation to the Goods/Services protected under the Trade Mark. As an authorised user, You will not have the right to exercise the powers conferred by subsections 26(1)(e) and (f) of the Trade Mark Act 1995 (Cth). You undertake not to apply to cancel or vary its recordal on the Register as an authorised user. You agree to not display/use/advertise/apply the Trade Mark in any way which may tarnish the reputation of Our brand and business.
All Intellectual Property Rights in and to the Trade Mark remains with Us. You acknowledge Our title to the Trade Mark. You acknowledge and agree that no common law or equitable right, interest or title in the Trade Mark is afforded to the You after the cessation of this Agreement. You undertake: not to take any action which would or might invalidate or put in dispute Our title, not to oppose any other application for registration of the Trade Mark, and not to make any application for the removal of the Trade Mark. You also undertake not to assist any third party directly or indirectly in any of the activities set out above.
You may only use the Trade Mark during the Term in relation to the Goods/Services. This is an essential term which survives the termination or cessation of this Agreement. You will immediately inform Us by Notice if at any time during the Term You decide to no longer use the Trade Mark on or in relation to the Goods/Services so that We may take whatever steps are necessary to ensure that the Trade Mark does not become vulnerable for removal from the Register for non-use. You will ensure that all use of the Trade Mark will bear whatever proprietary statement is required by Us from time to time including the Trade Mark symbol “®” if applicable or “TM”. You are not permitted to sell, charge, mortgage or otherwise encumber the Trade Mark in any way. You undertake and agree that You will not at any time during the Term register or apply for registration of a trade mark any sign, word or logo that is substantially identical with or deceptively similar to the Trade Mark.
